Investor restriction
Zodiac is set-up as a specialised investment fund under the Luxembourg law of 13 February 2007 on specialised investment funds (the “SIF Law”) and qualifies as an alternative investment fund (AIF) under the Luxembourg law of 12 July 2013 on alternative investment managers.
The sale of the Units in Zodiac is restricted to investors who:
(i) Qualify as Well-Informed Investors (as defined below); and
(ii) Satisfy all additional eligibility requirements for a specific Unit Class in the relevant Supplement for Zodiac or in the general part of the Prospectus.
Well-Informed Investors, as defined by article 2(1) of the SIF Law are:
- institutional investors;
- Professional investors within the meaning of Annex II to 2014/65/EC of the European Parliament and of the council of 15 May 2014 on markets in financial instruments (“Directive 2014/65/EC”); or
- any other investor that:
(i) has declared in writing his/her adhesion to the status of well-informed investor, and
(ii)
(a) invests a minimum of EUR 100,000 in the specialised investment fund, or
(b) has been the subject of an assessment made by a credit institution within the meaning of Regulation (EU) No. 575/2013 of the European Parliament and of the Council of 26 June 2013 on prudential requirements for credit institutions, by an investment firm within the meaning of Directive 2014/65/EC, by a management company within the meaning of Directive 2009/65/EC of the European Parliament and of the Council of 13 July 2009 on the coordination of laws, regulations and administrative provisions relating to undertakings for collective investment in transferable securities (UCITS) or by an authorised alternative investment fund manager within the meaning of AIFMD, certifying his expertise, his experience and his knowledge to adequately appraise an investment in the specialized investment fund.
The Management Company Invesco Management S.A. will not issue Units to persons whom it considers as not qualifying as Well-informed Investors and/or precluded from acquiring Units pursuant to AIFMD, applicable local laws and regulations or the Prospectus.
Marketing restriction
The marketing of Units of Zodiac may be restricted pursuant to selling restrictions set out in AIFMD and/or applicable local rules and regulations.
