Our 2012 Annual General Meeting of Shareholders was held on May 17, 2012. In anticipation of the meeting, Institutional Shareholder Services (ISS) issued a report to its institutional clients regarding the meeting and Invesco's executive compensation practices. Although we are pleased that both ISS, and another influential institutional proxy advisory service, Glass Lewis & Co., each recommended a "for" vote in respect of Invesco's annual "say on pay" vote, we believe ISS's analysis would have been more meaningful had ISS utilized an appropriate peer group.
We recently provided our top institutional shareholders with a letter in response to and clarification of the advisory report issued by ISS. The letter provides Invesco's view of who are appropriate peers against which Invesco's executive compensation practices should be compared and provides an analysis of Invesco's compensation practices against the Invesco-designated peer group.
